GuideAI Terms of Service

Welcome to GuideAI. These Terms of Service (“Terms”) govern your access to and use of the GuideAI website, products, software, APIs, integrations, and services (collectively, the “Services”) provided by GuideAI Technologies, Inc. (“GuideAI,” “we,” “our,” or “us”). Where our Privacy Policy refers to the “Service,” it means the GuideAI offering as used in context and is included within these Services.

By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not use the Services.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. This requirement operates together with our Privacy Policy (including its statement that the Services are not directed to children under 13).

By using the Services, you represent and warrant that:

  • You have the legal authority to enter into these Terms;
  • You will comply with all applicable laws and regulations;
  • The information you provide to us is accurate and complete.

2. Description of Services

GuideAI provides AI-powered workflow guidance, onboarding, automation, and assistance tools designed to help users navigate software applications and complete tasks more efficiently.

Our Services may include:

  • AI-generated in-app guidance;
  • Workflow automation and task assistance;
  • Browser-based overlays and extensions;
  • Integrations with third-party platforms;
  • APIs and developer tools;
  • Analytics and usage insights.

We may update, modify, or discontinue portions of the Services at any time.

3. Account Registration

To access certain features, you may be required to create an account.

You are responsible for:

  • Maintaining the confidentiality of your login credentials;
  • All activities that occur under your account;
  • Promptly notifying us of any unauthorized access or security incident.

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

  • Use the Services for unlawful, harmful, fraudulent, or deceptive purposes;
  • Reverse engineer, copy, scrape, or attempt to extract source code or underlying models except as permitted by law;
  • Interfere with or disrupt the integrity or performance of the Services;
  • Upload or transmit malicious code, malware, or harmful content;
  • Use the Services to infringe intellectual property or privacy rights;
  • Use automated systems to abuse or overload the Services;
  • Use the Services to generate or distribute harmful, abusive, or illegal content.

You are solely responsible for your use of the Services and any content or data you submit.

5. Customer Data

“Customer Data” includes information and materials you submit to us or that we process on your behalf in connection with the Services. How we collect, use, retain, and secure personal information—including transient workflow and screen data—is described in our Privacy Policy. Processing and retention of workflow and screen data follow the minimization and ephemeral-processing practices stated there and are not expanded by the license below.

5.1 Ownership

You retain ownership of all data, content, materials, and information you submit to the Services (“Customer Data”).

GuideAI does not claim ownership over your Customer Data.

5.2 License to Operate the Services

You grant GuideAI a limited, non-exclusive, worldwide license to host, process, transmit, and use Customer Data solely for the purpose of providing and improving the Services.

5.3 AI Processing

Certain features of the Services may use artificial intelligence and third-party AI providers to generate responses, workflow suggestions, or automated actions.

You acknowledge that:

  • AI-generated outputs may not always be accurate or complete;
  • You are responsible for reviewing outputs before relying on them;
  • AI-generated content should not be treated as legal, financial, medical, or professional advice.

5.4 Security

We implement reasonable administrative, technical, and organizational safeguards designed to protect Customer Data. However, no system can be guaranteed to be completely secure.

6. Privacy

Your use of the Services is also governed by our Privacy Policy.

By using the Services, you acknowledge that we may collect, use, and process information as described in the Privacy Policy.

If anything in these Terms conflicts with the Privacy Policy regarding personal information or privacy rights, the Privacy Policy controls.

7. Third-Party Services and Integrations

The Services may integrate with third-party platforms, software, or websites.

GuideAI does not control and is not responsible for:

  • Third-party services;
  • Their availability;
  • Their security practices;
  • Their content or functionality.

Your use of third-party services may be subject to separate terms and policies.

8. Fees and Payment

Certain features of the Services may require payment.

By purchasing a subscription or paid feature, you agree:

  • To pay all applicable fees;
  • That fees are non-refundable except as required by law or explicitly stated otherwise;
  • That subscriptions may automatically renew unless canceled before renewal.

We may change pricing at any time with reasonable notice.

9. Intellectual Property

The Services, including all software, models, interfaces, branding, designs, text, graphics, and underlying technology, are owned by GuideAI or its licensors and are protected by intellectual property laws.

Except as expressly permitted in these Terms, you may not:

  • Copy;
  • Modify;
  • Distribute;
  • Sell;
  • License; or
  • Create derivative works from the Services.

GuideAI and related logos are trademarks of GuideAI Technologies, Inc.

10. Feedback

If you provide suggestions, feedback, or ideas regarding the Services (“Feedback”), you grant GuideAI a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate such Feedback without restriction or compensation.

11. Beta Features

We may offer beta, preview, or experimental features.

These features:

  • May be incomplete or unstable;
  • May change or be discontinued at any time;
  • Are provided “as is” without warranties of any kind.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUIDEAI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • NON-INFRINGEMENT;
  • ACCURACY;
  • RELIABILITY; AND
  • UNINTERRUPTED AVAILABILITY.

WE DO NOT WARRANT THAT:

  • THE SERVICES WILL BE ERROR-FREE;
  • THE SERVICES WILL ALWAYS BE AVAILABLE OR SECURE;
  • AI OUTPUTS WILL BE ACCURATE OR SUITABLE FOR YOUR USE CASE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUIDEAI SHALL NOT BE LIABLE FOR ANY:

  • INDIRECT;
  • INCIDENTAL;
  • SPECIAL;
  • CONSEQUENTIAL; OR
  • PUNITIVE DAMAGES,

INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

GUIDEAI'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:

  • THE AMOUNT PAID BY YOU TO GUIDEAI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR
  • ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless GuideAI and its officers, directors, employees, affiliates, and agents from and against any claims, damages, liabilities, losses, and expenses arising out of:

  • Your use of the Services;
  • Your violation of these Terms;
  • Your violation of applicable laws or third-party rights;
  • Customer Data or content submitted by you.

15. Suspension and Termination

We may suspend or terminate your access to the Services at any time if:

  • You violate these Terms;
  • We are required to do so by law;
  • Your use poses a security or legal risk;
  • You fail to pay applicable fees.

You may stop using the Services at any time.

Upon termination:

  • Your right to use the Services ends immediately;
  • Certain provisions of these Terms will survive, including ownership, disclaimers, indemnification, and limitation of liability.

16. Confidentiality

Each party agrees to protect the other party's confidential information using reasonable care and not disclose it to third parties except as necessary to provide or use the Services, or as required by law.

17. Export Compliance

You agree not to use or export the Services in violation of applicable export control or sanctions laws.

18. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Any legal action arising out of these Terms shall be brought exclusively in the state or federal courts located in San Francisco County, California.

19. Dispute Resolution

Before filing a claim, both parties agree to attempt to resolve disputes informally.

If a dispute cannot be resolved informally, either party may pursue legal remedies in accordance with these Terms.

You agree that any claim must be brought in your individual capacity and not as part of a class action.

20. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we will provide notice by updating the effective date or through other reasonable means.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.

21. Miscellaneous

These Terms, together with our Privacy Policy and any order form or separate written agreement you enter into with GuideAI, constitute the entire agreement between you and GuideAI regarding the subject matter hereof.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

Failure to enforce any provision shall not constitute a waiver.

You may not assign these Terms without our prior written consent. GuideAI may assign these Terms without restriction.
